These Terms & Conditions (“Terms”) govern your access to and use of the Facilist website and service (the “Service”). By accessing or using the Service, you agree to these Terms.
Eligibility
You must be at least 18 years old to use the Service. If you use the Service on behalf of an organization, you represent you have authority to bind that organization.
Accounts and access
- You are responsible for maintaining the confidentiality of your login method and for all activity under your account.
- You agree to provide accurate information and keep it up to date.
- We may suspend or terminate access if we reasonably believe you’ve violated these Terms or abused the Service.
Your content
- Ownership: You retain ownership of photos, recordings, text, and other content you submit (“User Content”).
- License to operate: You grant Facilist a non-exclusive, worldwide license to host, store, reproduce, process, and display your User Content solely to operate, improve, and provide the Service (including making shared content available to people you choose). Processing includes automated (AI) transcription of your recordings and, once per list, using that list’s transcript text to suggest a name for it. See the Privacy Policy for details.
- AI output: transcripts and suggested list names are generated automatically and may be inaccurate, incomplete, or misleading. They are not a substitute for your original recording, which we keep as provided. Do not rely on them where accuracy matters; you can edit any transcript and rename any list.
- Permissions: You represent you have the rights necessary to upload and share your User Content.
Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, or abusive activities.
- Upload content that infringes intellectual property or privacy rights.
- Upload pornographic or sexually explicit content.
- Attempt to interfere with the Service (probing, scanning, scraping, or bypassing security).
- Upload malware or attempt to disrupt or overload the Service.
Sharing and guests
Some content may be shared via links or invitations you create. You are responsible for how and with whom you share. Guests may be able to view content you share.
Third-party services
The Service may rely on third-party services (for example, email delivery, hosting, and the AI providers used for transcription and suggested list names). We are not responsible for third-party products or services that we do not control, and these features may be interrupted or discontinued.
Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
Limitation of liability
To the fullest extent permitted by law, Facilist will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to your use of the Service.
Termination
You may stop using the Service at any time. We may suspend or terminate the Service or your access as described above. Provisions that by their nature should survive termination will survive.
Changes
We may update these Terms from time to time. If we make material changes, we’ll post the updated Terms on this page with a new effective date.
Jurisdiction
These Terms are governed by the laws of the State of Utah, USA.
